Before creating an application for monetization on ZPLAY Ads platform website or using its SDK (the “PLATFORM”), any user of the platform (“USER”) must read and ultimately agree to the terms of service (“TERMS”) contained in this agreement with ZPLAY (HK) Technology Co., Limited (“ZPLAY Ads”). Use of the service is voluntary, but the terms of service by which it is offered is not.

ZPLAY Ads provides mobile application advertising service to users. ZPLAY Ads reserves the right to suspend any part of the website
service for maintenance, upgrade or for other reasons without prior notice.

When using services provided by ZPLAY Ads, no user shall distribute information or applications:

1. which violates basic principles of the State Constitution;

2. which endangers state security, discloses state secrets, or sabotages state power or national unity;

3. which impairs state honor or interest;

4. which instigates ethnic hostility or discrimination, or sabotages ethnic unity;

5. which undermines state religious policy or advocates heresy or feudal superstition;

6. which spreads rumors that disturb social order and undermine social stability;

7. which spreads obscenity, pornography, gambling, violence, murder, terror or instigates crimes;

8. which insults or slanders others, violates others’ legal rights;

9. which includes other content prohibited by laws and regulations.

The user shall not impair the interest and honor of the platform and other users of the platform by any improper means.
The platform may terminate cooperation any time the user violates any of the above provisions.

The user understands and accepts that:

1. ZPLAY Ads does not guarantee that its service will meet demands of users or that its service will not be interrupted. ZPLAY Ads
makes no guarantee with respect to the timeliness, security and accuracy of its service.

2. The USER alone is responsible for assessing and accepting any risk related to information obtained from ZPLAY Ads or utilized; ZPLAY Ads will not be responsible or liable for any consequence arising from violation of the terms by its USERS.

3.All advertising contents and materials are provided by third party companies. ZPLAY Ads shall have no responsibility for any violation of laws and regulations and infringement of rights and interests of any entity by these third party companies.

ZPLAY Ads will do its utmost to provide the best service and notify users in a timely manner in the event of any change or interruption in
service. However, ZPLAY Ads reserves rights with respect to the following:

1. Due to the particularity of network service, the user shall agree that ZPLAY Ads may, without notifying the user and
without any liability to the user or any third party, change, interrupt part or all network service and delete (no longer retain) any material
submitted by the user while using the service.

2. ZPLAY Ads will overhaul or maintain the platform or relevant equipment on a regular or irregular basis and will not
be liable for any interruption of network service within a reasonable length of time caused by such overhauling or maintenance.

3.ZPLAY Ads reserves the right to modify the TERMS, including but not limited to, the contents of service, or pricing, without prior notice. Continued use of any service by the USER, following the posting of any revised agreement, will constitute implied agreement by the USER to the revised TERMS.

ZPLAY Ads may terminate its services to users under any of the following circumstances:

1. Where the user violates any provision of this service agreement, ZPLAY Ads may terminate service to the user.
Where it is found the user registers for an additional account directly or indirectly in another person’s name, ZPLAY Ads
may unilaterally terminate service to the user;

2. The user shall not cheat via programming or manual means. Where the user is found cheating, ZPLAY Ads will terminate
its service immediately and may withhold joint advertising fees;

3. Where it is found that the data or information provided by the user contains false information, ZPLAY Ads may
terminate its service to the user at any time;

4. The user refuses to accept new service terms upon termination or update of these service terms;

5. Other circumstances that ZPLAY Ads considers necessary to terminate its services.

Upon termination of service, ZPLAY Ads is not obliged to retain any information in or related to the user’s account or
forward any unread or unsent messages to the user or any third party.

ZPLAY Ads reserves the right to interpret and modify these service terms.

The construction, execution and interpretation of this Agreement and the resolution of disputes hereunder shall be governed by the laws of the People’s Republic of China. In the event of any dispute with respect to the construction or execution of this Agreement, the Parties shall first attempt to resolve the dispute through friendly negotiation. In the event that no settlement can been reached through friendly negotiation, either party may file a lawsuit in the appropriate court jurisdiction of the People’s Republic of China.
